Data Storage Director Reports Stock Award After Annual Meeting

Data Storage director Nancy Stallone disclosed the vesting of an earlier stock award and a new grant following the company's September 2 annual meeting.

Data Storage's latest ownership filing connects a director's stock awards to its annual meeting, separating shares earned through past service from compensation that remains conditional.

Data Storage director Nancy Stallone reported the vesting of 10,000 restricted stock units and a new award covering 12,000 shares in a September 4 SEC filing. Both entries carry a September 2 transaction date, coinciding with the New York company's annual stockholder meeting. The disclosure describes equity compensation, with footnotes explaining when the awards become earned shares. It does not report an open-market purchase by Stallone.

The older award dates to January 29, 2026, according to the Form 4. All 10,000 units vested on September 2, the date of the annual meeting, and converted into common stock on a one-for-one basis. The filing records the conversion in both its common-stock and restricted-unit tables. Those matching entries describe the same vesting event, so adding them together would overstate the number of shares involved.

The new grant has a different timetable: its 12,000 underlying shares are tied to restricted stock units scheduled to vest at the company's 2027 annual meeting. Vesting depends on Stallone continuing to serve the company through that date. Although the filing's common-stock table shows a running total of 22,000 after both entries, the footnote identifies the new award as conditional. The distinction matters because the two entries combine an award that has already vested with another that still requires future service.

A separate September 3 company filing supplies the governance context for those awards. Data Storage said shareholders elected all ten director nominees at the September 2 meeting, including Stallone, to serve until the next annual meeting and until successors are elected and qualified. Stallone received 198,648 votes in favor, while 21,426 were withheld and 1,066,278 were recorded as broker non-votes. The company reported that 1,286,352 shares were represented at the meeting out of 2,337,738 shares entitled to vote on the July 6 record date.

Shareholders also ratified Rosenberg Rich Baker Berman as the independent auditor for the fiscal year ending December 31, 2026. A separate advisory proposal on compensation for the company's named executive officers passed with 185,669 votes in favor, 32,181 against and 2,224 abstentions. Minichart's September 4 account independently reported the board elections, auditor ratification and advisory compensation result. That executive-pay vote is a separate disclosure from Stallone's director awards and should not be presented as a shareholder vote approving her individual grant.

Together, the filings show how Data Storage's annual meeting intersects with its director compensation calendar. The immediate change is the completion of one award's vesting and the start of another service period. The new grant's next stated milestone is the 2027 annual meeting, with continued service still a condition of vesting.
